SCOPE The selected services describe the intended scope of work. Detailed deliverables, milestones, and acceptance criteria may be set out in a separate statement of work.

FEES AND PAYMENT Fees are based on the line items selected in this agreement unless otherwise amended in writing. Payment terms (including deposits, invoicing schedule, and late fees) are as agreed between the parties.

REVISIONS AND CHANGE REQUESTS Reasonable rounds of revision may be included per service package where noted. Out-of-scope changes may require an updated estimate and written approval.

INTELLECTUAL PROPERTY Unless otherwise agreed in writing, ownership and licensing of deliverables will follow the final signed statement of work or master services agreement.

CONFIDENTIALITY Each party agrees to protect non-public information shared during the engagement using reasonable care.

LIMITATION OF LIABILITY To the maximum extent permitted by law, neither party is liable for indirect or consequential damages except where prohibited by law.

TERMINATION Either party may terminate for material breach if the breach is not cured within a reasonable period after written notice.

ENTIRE AGREEMENT This document, together with any statement of work referenced by the parties, constitutes the understanding regarding the selected services. Amendments must be in writing and signed by both parties.

GOVERNING LAW The laws of the jurisdiction agreed between the parties apply; if none is stated, the provider's principal place of business applies.
